Terms of Service
This is a draft pending legal review. It is not the final agreement and should not be relied on.
Effective date: 1 January 2026. These Terms of Service ("Terms") apply to everyone who uses the SeeGap website, cashback claim pages and brand dashboard (together, the "Services").
1. Who we are
The Services are operated by SeeGap Ltd, a company incorporated in Ireland (company number 761945) with its registered office at Hartnett Enterprise Acceleration Centre, Moylish Park, Limerick, V94 E8YF, Ireland ("SeeGap", "we", "us" or "our"). You can contact us at hello@seegap.com.
2. Definitions
- "Brand" means a business that runs a cashback Campaign through the Services, whether directly or via an agency acting on its behalf.
- "Campaign" means a receipt-verified cashback campaign run by a Brand through the Services, which may include product eligibility rules, a cashback amount or reward, receipt verification, survey or feedback capture, and reporting.
- "Shopper", "you" or "your" means a person who submits a receipt or claims cashback through the Services, unless the context shows we mean a Brand.
- "Campaign Terms" means the specific rules, eligibility criteria and offer details published for a given Campaign, which apply in addition to these Terms.
Where these Terms apply differently to Shoppers and Brands, this is stated in the relevant section.
3. Changes to these Terms
We may update these Terms from time to time to reflect changes to the Services or to applicable law. Where a change is material, we will give reasonable notice by posting an update on our website, by email, or by another appropriate means. If you continue to use the Services after a change takes effect, you accept the updated Terms.
4. Eligibility
To use the Services as a Shopper you must be at least 18 years old, or have the consent of a parent or legal guardian if you are between 13 and 17 and applicable law permits this. Campaigns may carry further eligibility rules (such as residency or purchase requirements), which are set out in the Campaign Terms. To use the Services on behalf of a Brand, you must have the authority to bind the organisation you represent.
5. Campaign participation and cashback claims
This section applies to Shoppers.
- To claim cashback, you must purchase the qualifying product in line with the Campaign Terms and submit a valid proof of purchase (typically a photo or upload of your receipt) showing the retailer, product, date of purchase and amount paid.
- Cashback is paid only once your claim has been verified against the Campaign Terms. We (and our fraud prevention providers) may use automated and manual checks to assess claims and prevent misuse.
- Unless the Campaign Terms say otherwise, only one claim per person, household or receipt is permitted per Campaign, and claims must be submitted within the timeframe stated for that Campaign.
- Submitting a claim does not guarantee payment. We may reject a claim that is incomplete, inaccurate, submitted outside the eligible window, or reasonably suspected to be fraudulent, and we are not required to give reasons for that decision.
- Cashback is paid in the currency and by the method stated in the Campaign Terms. Processing times may vary and are not guaranteed.
- You are responsible for checking that a product is suitable for you, including reviewing ingredients, allergens and safety information provided by the Brand.
- Where you provide feedback or survey responses as part of a Campaign, you confirm it reflects your genuine experience, and you agree we and the relevant Brand may use anonymised responses for reporting, marketing and research purposes.
6. Brand accounts and Campaign services
This section applies to Brands.
- SeeGap provides tools for Brands to run receipt-verified cashback Campaigns, including campaign links, receipt verification, survey capture, cashback payment facilitation and reporting. Features and availability may change as the platform develops.
- To run a Campaign you may need an account. You are responsible for the accuracy of information you provide, for keeping your login details secure, and for activity that happens under your account.
- Cashback offers, eligibility rules and any promotional mechanics for a Campaign are set by the Brand. SeeGap facilitates receipt verification and cashback payment but is not responsible for the underlying commercial offer, and is not a party to the sale between the Shopper and the retailer.
- Charges for using SeeGap are set out in your order or agreement with us. Unless stated otherwise, fees are exclusive of VAT and any other applicable taxes, and are payable in line with the agreed terms.
7. Acceptable use
You agree not to use the Services to:
- submit false, misleading or duplicated information, or a fraudulent or altered receipt;
- attempt to gain unauthorised access to the Services or another user's account;
- interfere with the operation or security of the Services, including by introducing malicious code or attempting to bypass verification or fraud checks;
- scrape, crawl or systematically extract data from the Services; or
- use the Services for any unlawful purpose or in a way that infringes someone else's rights.
We may suspend or terminate access to the Services for anyone who breaches this section.
8. Intellectual property
SeeGap and its content, software and branding remain our property or that of our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose. You keep ownership of the content and data you provide, and you grant us the rights needed to deliver the Services, including sharing relevant Shopper data with the Brand running a Campaign as described in our Privacy Policy.
9. Third-party content and links
The Services may link to or display content from third parties, including Brands and retailers. We do not control and are not responsible for third-party websites, products or content, and your dealings with a Brand or retailer (including any purchase) are solely between you and them.
10. Availability and changes to the Services
We work to keep the Services available but do not guarantee uninterrupted or error-free operation. We may update, suspend, withdraw or amend a Campaign or any part of the Services at any time, including where reasonably necessary to prevent fraud or respond to a technical fault, and we will give notice where a change is material and practical to flag in advance.
11. Data protection
We process personal data in accordance with our Privacy Policy. For most Campaign activity, SeeGap processes Shopper personal data as a data processor acting on the instructions of the Brand running that Campaign, which acts as data controller for that activity. Where required, we put an appropriate data processing agreement in place with Brands.
12. Warranty disclaimer
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, express or implied, in relation to the Services, including as to merchantability, fitness for a particular purpose, and non-infringement. Nothing in this section affects your statutory rights as a consumer.
13. Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under Irish law.
Subject to the above, we are not liable for any indirect or consequential loss, including loss of profit, revenue or goodwill, and our total liability to you arising out of or in connection with the Services or any Campaign is limited to the value of the cashback claimed or offered under the relevant Campaign, or, for Brand agreements, the amount set out in your agreement with us.
We are not responsible for claims that are not successfully submitted due to a technical fault outside our reasonable control, or for the underlying Products or commercial offer set by a Brand.
14. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms or your misuse of the Services, except to the extent caused by our own breach or negligence.
15. Consumer rights
Nothing in these Terms affects your statutory rights as a consumer under the laws of Ireland or the European Union, including any rights that cannot be limited or excluded by agreement.
16. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services for breach of these Terms, suspected fraud, or misuse of a Campaign. Terms that by their nature should survive termination, including intellectual property, liability and governing law, will continue to apply.
17. General
You may not assign these Terms without our written consent. We may assign these Terms, including in connection with a merger, acquisition or sale of assets. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. These Terms, together with the Privacy Policy and any Campaign Terms, are the entire agreement between you and us on this subject and supersede any earlier understanding. Our failure to enforce a right under these Terms is not a waiver of that right. Neither of us is liable for delay or failure to perform caused by circumstances reasonably beyond our control.
18. Governing law and jurisdiction
These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services, without prejudice to any mandatory consumer protections that entitle you to bring proceedings in your own country of residence.
